Job Summary
The Executive Director – Land & Legal will be responsible for providing strategic leadership and ensuring effective management of all land-related and legal affairs of the company.
The position will play a critical role in land acquisition, land verification and due diligence, documentation, legal risk management, regulatory approvals, landowner negotiations, Joint Venture (JV) arrangements, project-related legal matters, and coordination with government authorities and external legal professionals.
Key Responsibilities
- Lead and supervise all Land & Legal activities of Florentia Real Estates Ltd.
- Identify, evaluate, and facilitate the acquisition of suitable land for real estate development projects.
- Conduct comprehensive land due diligence, including ownership, title, mutation, khatian, deeds, tax records, possession, encumbrances, and other relevant documents.
- Verify the legal status and authenticity of land documents before acquisition or entering into any development agreement.
- Coordinate with lawyers, legal consultants, surveyors, land professionals, and relevant government authorities.
- Lead negotiations with landowners, JV partners, sellers, and other stakeholders.
- Review and supervise preparation of Joint Venture Agreements, Development Agreements, Sale Agreements, Power of Attorney, MoUs, land purchase documents, and other legal instruments.
- Ensure proper documentation and legal compliance for all land transactions and development projects.
- Manage land registration, mutation, khatian, tax, Power of Attorney, and other land-related formalities.
- Coordinate with RAJUK, City Corporation, land offices, sub-registry offices, and other relevant authorities as required.
- Identify potential legal and land-related risks and advise the management on appropriate measures.
- Oversee legal matters relating to company projects, customers, contractors, vendors, partners, and other stakeholders.
- Coordinate with external legal counsel regarding litigation, notices, disputes, and other legal proceedings.
- Establish and maintain an organized Land & Legal documentation and record-management system.
- Provide regular reports and strategic recommendations to the Managing Director & CEO and Board of Directors.
- Ensure that all land acquisition and development activities are conducted with proper legal and commercial due diligence.
- Develop policies, procedures, and internal controls for the company's Land & Legal Department.
- Support the management in strategic decision-making relating to land acquisition, project development, and legal matters.
